OFFICIAL LIQUIDATOR OF PATHEJA BROTHERS FORGINGS AND STAMPING LTD. (IN LIQUIDATION)versusDEVI CONSTRUCTION CO.PVT. LTD. (PETITIONER)

DISPOSED OFF

Holding

The court allowed the Official Liquidator to proceed with a second e‑auction, publish the required notices, and approve the draft sale documents.

Summary

The Official Liquidator sought the court’s permission to make another attempt to sell an immovable property of Patheja Brother Forging & Stamping Ltd. through an e‑auction, after a prior sale attempt failed and the earnest money deposit was forfeited. The petition asked for approval to publish sale notices in specified newspapers, to upload sale terms on the auctioneer’s website, and to approve draft sale documents. The court noted its earlier order dated 12 January 2024 that had fixed a reserve price and EMD for the property, and observed that the earlier auction had not fructified. Relying on the Companies Act, 1956 and the Companies (Court) Rules, 1959, the judge held that the requested reliefs should be granted. Consequently, the Official Liquidator’s report and the associated prayers were disposed of in favour of allowing the further sale attempts.

Issues considered

  • Whether the court may permit the Official Liquidator to conduct a second e‑auction of the immovable property after the first attempt failed.
  • Whether the Official Liquidator may publish sale notices in newspapers as per Rules 272 and 273 of the Companies (Court) Rules, 1959.
  • Whether the court may approve the draft sale notice and terms and conditions for the proposed e‑auction.

2. Mr.Hariani pointed out that this Court by an order

dated 12th January, 2024 (Manish Pitale, J.) allowed Official

Liquidator Report No.164 of 2023, by which this Court has

directed the sale of the property after fixing reserve price at

Rs.15,50,000/- and EMD at Rs.1,50,000/-. He submits that

though attempts were made to sell the said property, the same did

not fructify which resulted in forfeiture of the EMD. Heard

learned counsel and perused the Official Liquidator Report. In

my view, the same would have to be allowed in terms of prayer

clauses (a) to (d).

3. The Official Liquidator Report is disposed of.
