The Court allowed the Official Liquidator’s report, granting all the prayers sought.
Summary
The Official Liquidator filed a report seeking the High Court's permission to declare a dividend of Rs.7,69,99,116 to the secured creditor Omkara Asset Reconstruction Private Limited, to dispense with procedural requirements of Rule 276 and Rule 290 of the Companies (Court) Rules, 1959, and to allow direct payment from the liquidator's PLA account. The report also requested that any unclaimed dividend after six months be transferred to the Companies Liquidation Account under section 555 of the Companies Act, 1956. The ex‑directors of the liquidated company raised no objection to the report. Omkara ARC agreed to furnish an undertaking to return the amount if directed. The Court examined the prayers and, finding no impediment, allowed the report in its entirety, thereby authorising the dividend and the procedural dispensations.
Issues considered
- Whether the Court can permit the Official Liquidator to declare and pay a dividend to a secured creditor without following Rule 276 of the Companies (Court) Rules, 1959.
- Whether the Court can dispense with Rule 290 of the Companies (Court) Rules, 1959 and allow payment directly from the PLA account.
- Whether the Court can order that unclaimed dividend be transferred to the Companies Liquidation Account under section 555 of the Companies Act, 1956.
