The court held that a valid arbitration agreement existed and was duly invoked, and therefore appointed a sole arbitrator to adjudicate the disputes.

Summary

The Bombay High Court was approached by Trucap Finance Ltd under Section 11 of the Arbitration and Conciliation Act, 1996 to appoint an arbitrator for disputes arising from seven Business Loan Agreements dated 30 December 2024. The applicant had invoked the arbitration clause contained in Clause 36 of the loan agreements by issuing a notice on 2 March 2026. The court examined the record and found that a valid, subsisting arbitration agreement existed and had been properly invoked. Consequently, the court exercised its jurisdiction under Section 11 and appointed Ms. Lizum Wangdi as the sole arbitrator, specifying procedural directions for disclosure, communication, and cost allocation. The order also directed the parties to cooperate with the arbitrator and outlined the manner of service of correspondence in the arbitral proceedings.

Issues considered

  • Whether a valid arbitration agreement exists between the parties under the Business Loan Agreements.
  • Whether the arbitration agreement has been duly invoked, giving the court jurisdiction under Section 11 of the Arbitration and Conciliation Act, 1996.
  • Whether the court may appoint a sole arbitrator and prescribe procedural directions.
